J.D.
Lauren Simpson represents US and international tax-exempt organizations on a wide range of issues, including corporate governance, formation and structuring, tax and regulatory compliance, operational policies and procedures, fundraising, domestic and international grantmaking, investment activities, and lobbying and political campaign issues, among others. She also advises on establishing and managing relationships between tax-exempt organizations and for-profit entities, including program and mission-related investments, the creation of incubators and accelerators, and licensing and service arrangements. Her clients include private foundations, public charities, social welfare organizations, business leagues, and impact investors. As part of her work, Lauren helps clients to obtain and retain tax-exempt status, and advises exempt organizations in structuring complex grants and asset contributions, creating and leveraging innovative structures to increase charitable impact and facilitate compliance, and managing federal tax and state regulatory compliance relating to mergers, acquisitions, reorganizations, impact investments, and other activities. She also helps for-profit entities undertaking corporate philanthropy, volunteer initiatives, and joint ventures or other affiliations with tax-exempt organizations, and assists both nonprofit and for-profit clients engaging in activities implicating state charitable solicitation laws, including cause marketing initiatives. Lauren regularly advises clients on best practices for nonprofit boards, unrelated business income tax matters, excess benefit transactions and self-dealing, excess business holdings issues, program-related and mission-related investments, lobbying and political campaign issues, and executive compensation matters. Lauren is a frequent speaker at conferences, seminars, and workshops on exempt organization matters. Most recently, she has spoken on topics including advanced issues in charitability, with a focus on food, energy, and the environment, lobbying and political campaign activities, fundraising and commercial co-venture compliance, and donor-advised funds.
Daniel Romano
Dan is a principal and leads Grant Thornton Advisors LLC's Not-for-Profit Tax Industry practice which serves tax-exempt organizations including colleges & universities, private foundations, cultural institutions & trade associations throughout the country. For over 30 years Dan has provided tax consulting and compliance services to tax-exempt organizations on such matters as unrelated business income, joint venture structuring, employment taxes, private benefit issues and other compliance needs. For clients, Dan has facilitated tax minimization, contract review and structuring, operational, governance and procedural reviews as it relates to tax matters. Dan has worked with numerous charities, universities, foundations, and other not-for-profit organizations across the country, including some of the most prominent institutions within their fields. Dan is a board member and treasurer of Oceanic Global Foundation and a board member of Mission Magazine and the Italian American Sport Foundation. Dan graduated from Baruch College with a BBA degree in Accounting.
